1. Introduction

Welcome to Nexvenda Technologies Limited (“Nexvenda”, “Company”, “we”, “our”, or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of the Nexvenda platform, website, applications, products, and services available through nexvenda.org (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, Copyright Policy, and any other policies published on the platform.

If you do not agree with these Terms, you must not access or use the Services.

2. Eligibility

By making a purchase, you represent and warrant that:

You are authorized to use the selected payment method;

Nexvenda reserves the right to refuse, suspend, or cancel transactions that are suspected to be fraudulent, unauthorized, unlawful, or in violation of these Terms.

Payment processing fees are non-refundable.

5. Subscription Services

Certain features of the platform may be available through paid subscription plans, including the Nexvenda Pro Plan.

Subscriptions may be offered on:

Monthly billing cycles;

Quarterly billing cycles; or

Annual billing cycles.

Subscription fees are billed in advance and automatically renew at the end of each billing cycle unless cancelled before renewal.

Users may cancel subscriptions through their account settings or by contacting Nexvenda support.

Subscription Refunds

Subscription payments are non-refundable once processed.

Users are responsible for cancelling subscriptions before renewal if they do not wish to continue using the service.

6. Seller Payouts

Nexvenda facilitates payouts to eligible sellers using approved payout methods.

Payouts are subject to:

Verification requirements;

Compliance checks;

Processing timelines;

Applicable fees; and

Regulatory obligations.

Nexvenda reserves the right to delay, suspend, withhold, or reverse payouts where fraud, disputes, chargebacks, regulatory requirements, or violations of these Terms are suspected.

7. KYC and Verification

To access certain services, receive payouts, or comply with regulatory obligations, Nexvenda may require users to complete identity verification procedures.

Verification information may include:

Government-issued identification;

Bank account information;

Proof of address;

BVN or equivalent identification numbers;

Corporate registration documents.

You authorize Nexvenda to:

Verify your information through approved verification providers;

Share information with regulatory authorities where required by law;

Conduct ongoing compliance reviews.

Failure to complete verification may result in restricted access to some or all platform features.

8. Affiliate Program

Nexvenda may operate an Affiliate Program that allows approved participants to earn commissions for referring customers or sellers to the platform.

Participation in the Affiliate Program is subject to:

Separate affiliate rules and guidelines;

Compliance with applicable laws;

Honest and transparent promotion practices.

Nexvenda reserves the right to suspend, revoke, or withhold affiliate commissions where fraudulent, misleading, or prohibited activities are detected.

9. Code of Conduct

Users agree not to:

Engage in unlawful activities;

Conduct fraudulent transactions;

Participate in money laundering schemes;

Transmit malware, viruses, worms, or malicious code;

Spam users or third parties;

Collect personal information without authorization;

Interfere with the operation of the platform.

Violation of this section may result in immediate suspension or permanent termination of your account.

You represent and warrant that:

Nexvenda reserves the right to remove content that violates these Terms.

11. Intellectual Property

All platform content, software, branding, trademarks, logos, and technology owned by Nexvenda remain the exclusive property of Nexvenda Technologies Limited and its licensors.

Nothing in these Terms transfers ownership of any intellectual property rights to users.

12. Chargebacks

Where a payment is reversed through a chargeback process, the user responsible for the transaction shall be liable for any chargeback fees imposed by the relevant payment processor.

Applicable chargeback fees shall be determined based on the prevailing rates of the payment processor at the time the chargeback occurs.

Nexvenda reserves the right to recover such amounts from future payouts, account balances, or other funds due to the user.

13. Analytics and Third-Party Services

Nexvenda may use third-party providers, including but not limited to:

Google Analytics;

Cloudflare Analytics;

Mixpanel; and

Other service providers necessary to operate the platform.

Use of such services may be governed by their respective terms and privacy policies.

14. Disclaimer

The Services are provided on an “AS IS” and “AS AVAILABLE” basis.

Nexvenda makes no warranties, express or implied, regarding:

Availability;

Accuracy;

Reliability;

Security;

Fitness for a particular purpose; or

Uninterrupted access.

Users assume all risks associated with their use of the platform.

15. Limitation of Liability

To the fullest extent permitted by law, Nexvenda Technologies Limited shall not be liable for:

Indirect damages;

Consequential damages;

Loss of profits;

Loss of data;

Business interruption;

Unauthorized access to user accounts;

Actions of buyers, sellers, or third parties.

16. Termination

Nexvenda may suspend or terminate access to the Services at any time where:

These Terms are violated;

Fraud is suspected;

Regulatory obligations require such action;

Continued access presents a risk to the platform.

Termination does not relieve users of outstanding obligations incurred before termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

18. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be resolved through good-faith negotiations.

Where the dispute cannot be resolved amicably, it shall be submitted to the courts of competent jurisdiction in the Federal Republic of Nigeria.

The parties irrevocably submit to the jurisdiction of Nigerian courts.

19. Amendments

Nexvenda reserves the right to modify these Terms at any time.

Updated versions will be published on the platform, and continued use of the Services after such publication constitutes acceptance of the revised Terms.
